NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW.

By entering, you agree to be bound by these Official Rules and by the decisions of the Sponsor, which are final and binding in all matters relating to this Sweepstakes.

1. Sponsor and Administrator

Sponsor: Nékter Juice Bar, Inc, 27702 Crown Valley Pkwy D4 #446 Ladera Ranch, CA 92694(“Sponsor”). Administrator: Sponsor (“Administrator”). This Sweepstakes is not sponsored, endorsed, administered by, or associated with any social media platform, and any questions or complaints must be directed to Sponsor and not to any platform.

2. Eligibility

2.1 The Sweepstakes is open only to natural persons who are legal residents of, and physically located in, one of the 50 United States or the District of Columbia, and who are 18 years of age or older (or the age of majority in their state of residence, whichever is greater) as of the date of entry.

2.2 Void in Puerto Rico, Guam, the U.S. Virgin Islands, all other U.S. territories and possessions, and everywhere else outside the 50 United States and the District of Columbia, and void where otherwise prohibited or restricted by law.

2.3 Employees, officers, directors, members, managers, agents, and representatives of Sponsor, its franchisees, participating Nékter Juice Bar locations, and each of their respective parent companies, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies, and any other entity involved in the development, production, implementation, administration, judging, or fulfillment of this Sweepstakes (collectively, the “Promotion Entities”), and the immediate family members (spouse, parent, child, sibling, and their respective spouses, regardless of where they reside) and household members (whether or not related) of each such person, are not eligible to enter or win.

2.4 Entries are limited to the individual entrant. Entries submitted by any agency, entity, syndicate, or group, or generated by any automated, robotic, macro, script, or programmed means, are void.

3. Sweepstakes Period

The Sweepstakes begins at 12:00:00 a.m. Pacific Time (“PT”) on August 24, 2026 and ends at 11:59:59 p.m. PT on August 31, 2026 (the “Sweepstakes Period”). Sponsor’s computer and point-of-sale systems are the official time-keeping devices for this Sweepstakes.

4. How to Enter

There are two (2) ways to enter. Both methods receive the same treatment in the random drawing, and no purchase is required to enter or to win.

4.1 Method 1 - Purchase Entry (no purchase required; see Method 2).

During the Sweepstakes Period, a Nékter Rewards member who makes a Qualifying Purchase at a Participating Location, whether in-store or through the Nékter mobile app, using an account correctly identified at the time of the transaction, will automatically receive one (1) entry per Qualifying Purchase transaction. There is no limit on the number of purchase entries per person during the Sweepstakes Period. Nékter Rewards membership is free and available to eligible persons at http://my.spendgo.com/nekterjuicebar

“Qualifying Purchase” means the purchase of any Nékter Waffle. “Participating Location” means a Nékter Juice Bar location listed at locations.nekterjuicebar.com. Orders placed through third-party delivery marketplaces (including without limitation DoorDash, Uber Eats, Grubhub, and Postmates) DO NOT qualify. Voided, refunded, cancelled, or returned transactions will not generate an entry, and any entry already generated by such a transaction will be disqualified.

4.2 Method 2 - Free Mail-In Entry (Alternate Method of Entry).

To enter without making a purchase and without joining Nékter Rewards, hand-print your full name, complete mailing address, email address, telephone number, and date of birth on a 3″ x 5″ card and mail it in a hand-addressed, hand-printed, stamped envelope to: “Nékter Free Waffles Sweepstakes,” 27702 Crown Valley Pkwy D4 #446, Ladera Ranch, CA 92694. Each complete and legible mail-in entry will receive one (1) entry. Limit one (1) entry per outer mailing envelope. There is no limit on the number of separate envelopes an entrant may submit during the Sweepstakes Period. Mail-in entries must be postmarked by August 31, 2026 and received by September 15, 2026. Mechanically reproduced, illegible, incomplete, photocopied, or bulk-mailed entries are void. Sponsor is not responsible for lost, late, misdirected, postage-due, damaged, or undelivered mail. All entries become the property of Sponsor and will not be acknowledged or returned.

4.3 In the event of a dispute as to the identity of an entrant, the entry will be deemed submitted by the authorized account holder of the email address associated with the Nékter Rewards account or, for mail-in entries, by the natural person whose name appears on the entry card. The potential winner may be required to furnish proof of identity, age, and residence.

5. Winner Selection and Odds

5.1 On or about September 18, 2026, Administrator will select one (1) potential winner in a random drawing from among all eligible entries received through both entry methods combined. All entries are pooled and treated identically in the drawing.

5.2 Odds of winning depend on the total number of eligible entries received during the Sweepstakes Period.

5.3 Administrator’s decisions regarding entry eligibility and winner selection are final and binding in all respects.

6. Prize

6.1 Prize. One (1) prize will be awarded: “Free Waffles for the Rest of the Year,” consisting of eighteen (18) complimentary waffle orders. Awards are redeemable at Participating Locations beginning on the date the prize is issued to the confirmed winner and ending at 11:59 p.m. PT on December 31, 2026. There is no weekly or monthly redemption cap; the winner may redeem the awards at any pace within that window. Limit one (1) complimentary waffle order per transaction.

6.2 Approximate Retail Value. ARV of the prize is $125.00 (eighteen (18) waffle orders at an ARV of approximately $6.94 each). Total ARV of all prizes offered in this Sweepstakes is $125.00. Actual value may vary by location; any difference between the stated ARV and the actual value of the prize will not be awarded.

6.3 Fulfillment. The prize will be fulfilled by providing (1) Gift Card with $125 retail value. Redemption is available at Participating Locations only.

6.4 Expiration. All eighteen (18) awards expire and must be redeemed on or before 11:59 p.m. PT on December 31, 2026. Any award not redeemed as of that time is forfeited and will not be replaced, extended, reissued, or exchanged for cash or credit. No extension will be granted for any reason.

6.5 Restrictions. The prize is awarded “as is,” with no warranty or guarantee, express or implied, by Sponsor. The prize is non-transferable, may not be sold, assigned, auctioned, or bartered, and no substitution or cash equivalent is permitted, except that Sponsor reserves the right, in its sole discretion, to substitute a prize of equal or greater value if the advertised prize becomes unavailable. Prize does not include gratuity, delivery fees, add-ons, or any other item not expressly described above. All costs and expenses not expressly stated as part of the prize are the sole responsibility of the winner.

7. Winner Notification and Claim

7.1 The potential winner will be notified by email at the address associated with the entry on or before September 30, 2026.

7.2 The potential winner must respond to the notification within five (5) business days of the date the notification is sent. If the potential winner does not respond within that period, if the notification is returned as undeliverable, if the potential winner is found to be ineligible, or if the potential winner fails to comply with these Official Rules, the prize may be forfeited and, at Sponsor’s sole discretion, an alternate potential winner may be selected in a subsequent random drawing from among all remaining eligible entries.

7.3 The potential winner may be required to execute and return an Affidavit of Eligibility, a Liability Release, and (except where prohibited by law) a Publicity Release within seven (7) days of the date such documents are sent. Failure to return the executed documents within that period may result in forfeiture and selection of an alternate winner.

7.4 Sponsor reserves the right, in its sole discretion, to make no more than three (3) alternate winner selections, after which the prize will go unawarded.

8. Taxes

All federal, state, and local taxes, and any other costs and expenses associated with prize acceptance and use not expressly stated as being provided as part of the prize, are the sole responsibility of the winner. The winner may be required to provide a completed IRS Form W-9 and a valid Social Security number or taxpayer identification number in order to receive the prize.

9. Publicity

Except where prohibited by law, acceptance of the prize constitutes the winner’s consent to Sponsor’s and its designees’ use of the winner’s name, city and state of residence, likeness, photograph, voice, biographical information, and statements about the Sweepstakes, for advertising, trade, and promotional purposes worldwide and in all media now known or hereafter devised, in perpetuity, without further compensation, notice, review, or approval.

10. General Conditions

10.1 Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes, acting in violation of these Official Rules, or acting in an unsportsmanlike or disruptive manner or with intent to annoy, abuse, threaten, or harass any other person.

10.2 If, for any reason, the Sweepstakes is not capable of running as planned - including by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, point-of-sale or system outage, or any other cause beyond Sponsor’s reasonable control that corrupts or affects the administration, security, fairness, integrity, or proper conduct of the Sweepstakes. Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Sweepstakes, and to select the winner in a random drawing from among all eligible, non-suspect entries received prior to the action taken, or as otherwise deemed fair and appropriate by Sponsor.

10.3 Sponsor is not responsible for: (a) entries that are lost, late, incomplete, illegible, damaged, garbled, misdirected, or not received for any reason; (b) any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft, destruction, or unauthorized access to entries; (c) any injury or damage to any person’s device related to or resulting from participation in the Sweepstakes; or (d) any printing, typographical, administrative, or technological error in any materials associated with the Sweepstakes.

10.4 In the event of a conflict between these Official Rules and any abbreviated rules or other advertising materials, these Official Rules govern.

10.5 The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision.

11. Release and Limitation of Liability

By entering, each entrant agrees to release, discharge, indemnify, and hold harmless the Promotion Entities and each of their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, injuries, and expenses (including reasonable attorneys’ fees) of any kind arising out of or in connection with participation in this Sweepstakes or the acceptance, receipt, possession, use, or misuse of the prize.

To the fullest extent permitted by applicable law: (a) in no event will the Promotion Entities be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for attorneys’ fees; and (b) each entrant’s remedy is limited to actual out-of-pocket costs incurred in entering the Sweepstakes, not to exceed $10.00. Some jurisdictions do not allow the limitation or exclusion of certain damages, so the above may not apply to all entrants.

12. Disputes; Governing Law

Except where prohibited by law, each entrant agrees that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes or any prize awarded will be resolved individually, without resort to any form of class action; (b) these Official Rules and all issues concerning their construction, validity, interpretation, and enforceability are governed by the laws of the State of California, without regard to its conflict-of-laws rules; and (c) the exclusive forum for any dispute is the state or federal courts located in Orange County, California, and each entrant consents to the personal jurisdiction of those courts.

13. Privacy

Information submitted in connection with this Sweepstakes will be collected and used by Sponsor for purposes of administering the Sweepstakes, verifying eligibility, and awarding the prize, and is otherwise subject to Sponsor’s Privacy Policy, available at https://www.nekterjuicebar.com/pages/privacy-policy. Date of birth is collected solely to verify age eligibility. California residents may have additional rights regarding their personal information as described in Sponsor’s Privacy Policy and Notice at Collection.

Entering this Sweepstakes DOES NOT enroll the entrant in Sponsor’s marketing email or SMS programs unless those options are selected while setting up a Rewards Account.
